These Terms do not modify or replace the terms of any other agreement you may have with Smile Secure. If you are using the Services on behalf of an organization or entity, you represent and warrant that you have the authority to accept these Terms on its behalf and bind it to the terms herein.

Please read these Terms carefully before accessing or using the Services. If you do not agree to these Terms, you must immediately discontinue your use of the Services.

1. Eligibility

The use of our Services is restricted to individuals and entities that can legally enter binding agreements. By accessing the Services, you confirm that:

• You possess the authority to represent your dental practice if using the Services on its behalf.

2. Registration and Account Security

To access certain features of the Services, you must create an account. By registering, you agree to:

• Provide accurate, complete, and up-to-date information during registration.
• Safeguard your login credentials and ensure they are not shared with unauthorized individuals.

We are not responsible for losses arising from unauthorized account access resulting from your failure to secure your login credentials. Accounts may be suspended or terminated if fraudulent activity or misuse is detected.

• Register accounts with false or misleading information.
• Attempt to create multiple accounts for the same individual or entity unless explicitly permitted.

   

Smile Secure reserves the right to monitor account activity and take appropriate action, including suspension or termination, to maintain system integrity.

3. Permitted Use

You are granted a limited, non-exclusive, and revocable license to use the Services solely for legitimate and lawful purposes related to dental practice management. This includes, but is not limited to:

• Scheduling appointments.
• Managing patient records.
• Facilitating billing and insurance claims.
• Analyzing practice performance metrics.

Prohibited Activities

Users must refrain from:

• Distributing harmful code or engaging in activities that may disrupt the functionality of the Services.
• Exploiting the Services for unauthorized commercial purposes, including reselling access.

Any breach of permitted use policies may result in immediate termination of access and potential legal action.

4. Ownership and Intellectual Property

User Contributions

Any content uploaded to the platform, such as patient data or operational metrics, remains the property of the user or practice. Smile Secure will use such data only as outlined in our Privacy Policy.

5. Privacy Policy

Your use of Smile Secure’s Services is subject to our Privacy Policy, which details how we collect, store, and protect your data. By using the platform, you consent to the collection and processing of your information as described in the Privacy Policy.

6. Disclaimer of Warranties

Smile Secure provides its Services “as is” and makes no guarantees regarding:

• The uninterrupted availability of the platform.

We disclaim all implied warranties, including those of merchantability and fitness for a particular purpose. Users are encouraged to report any system errors promptly for resolution.

7. Limitation of Liability

• Smile Secure will not be liable for any indirect, incidental, or consequential damages arising from the use of our Services.
• Our maximum liability for direct damages will not exceed the fees paid for the Services over the past 12 months.

This limitation applies even if we have been advised of the possibility of such damages.

• Grant us a royalty-free license to use, modify, and incorporate your input into our platform and Services.

Smile Secure reserves the right to review, edit, or remove content uploaded to our Services that violates these Terms.

11. Termination

Smile Secure reserves the right to terminate access to the platform for users who:

• Violate these Terms.
• Engage in fraudulent or harmful activities.

Termination does not absolve users of any outstanding financial obligations. Users may also request account termination, which will be processed in accordance with our data retention policies.

Message Frequency: Messages will be sent as needed for appointment reminders, updates, and other relevant notifications.
